Vibra Energia’s shares are listed on B3 S.A.’s Novo Mercado – Brazil, Bolsa, Balcão since December 15, 2017. As we are in the Novo Mercado, all our shares are common.
Common shares (ON) are voting shares, giving their holders a greater participation in the Company’s business, which occurs through the resolutions taken at the Shareholders’ Meetings.
Another feature of common shares is the so-called tag along, which guarantees shareholders – in case of shareholder restructuring – to receive 100% of the amount agreed with the controlling shareholders.
The Annual General Meeting (AGM) is a meeting held no later than 4 months after the end of the year, with the purpose of taking the directors’ accounts, examining, discussing and voting the financial statements, deciding on the allocation of the net income of the exercise and distribution of dividends, and elect the directors and, if applicable, the members of the fiscal council.
The Extraordinary General Meeting (EGM) shall be convened for the deliberation of matters other than those previously listed.
There may be the convening and cumulative holding of an ordinary and extraordinary general meeting (AGO / E), provided that they are simultaneously convened and held at the same place, date and time, and are instrumentalized in a single minutes. All shareholders may attend the meetings and have the right to vote.

There is no minimum or maximum limit to trade stocks. However, costs such as brokerage can make very low value applications uninteresting. Please note that the shares are usually traded in lots.
Under Brazilian Corporate Law, every publicly traded Brazilian company must distribute to shareholders at least 25% of its net income in dividends. Depending on the company’s bylaws, this total may also be distributed through interest on equity (JCP).
Dividends are exempt from income tax, while interest on equity is taxed at 15% when the investor receives them. It does not matter when the stock was purchased by the investor, as long as the investor owns the stock within the deadline set for the payment.
Ex date is the date on which the shares are traded without dividend rights.
